The Serra Verde offtake SPV completed an upsized $1.55 billion capitalization. The Department of War committed $750 million, $250 million above the original $500 million, and a Tier-1 bank provided a commitment letter for a $500 million Senior Debt Facility. The U.S. government also entered a forward purchase contract for not less than $300 million of rare earth products over five years. The capitalization satisfies a closing condition for USAR’s proposed merger with Serra Verde, expected to close promptly following the August 28, 2026 special meeting.
