8-K: Morgan Stanley Mortgage Capital Holdings to sell mortgage loans to Morgan Stanley Capital I Inc. under August 18, 2026 agreement

Morgan Stanley Mortgage Capital Holdings LLC agreed to sell commercial, multifamily and manufactured housing community mortgage loans to Morgan Stanley Capital I Inc. under a Mortgage Loan Purchase Agreement dated and effective August 18, 2026. The purchaser intends to transfer the mortgage loans to a trust whose primary assets will be a segregated pool of such loans. Beneficial ownership of the trust fund will be evidenced by mortgage pass-through certificates and the VRR Interest. Certain classes of certificates will be registered under the Securities Act of 1933, and certain classes will not be registered.
