Jazz Investments I Limited, a wholly-owned subsidiary of Jazz Pharmaceuticals, intends to offer $1.0 billion aggregate principal amount of exchangeable senior notes due 2032 in a private Rule 144A offering. Initial purchasers have a 13-day option to buy up to an additional $150.0 million. Jazz Pharmaceuticals also expects to repurchase up to $225.0 million of ordinary shares from note purchasers concurrently with pricing, using existing cash under its July 2024 share repurchase program.
