$TDS (TELEPHONE & DATA SYSTEMS INC..) — 8-K: TDS withdraws Array buyout bid, keeps 82% stake and plans buybacks

TDS is no longer pursuing the acquisition of Array Digital Infrastructure shares it does not already own and has withdrawn its proposal to exchange each Array share for 0.86 of a TDS share. TDS will continue to hold approximately 82% of Array. With the withdrawal, TDS expects to recommence repurchases under its share repurchase programs, with approximately $523.9 million remaining available as of June 30, 2026. TDS and Array also intend to increase efforts to monetize Array’s remaining wireless spectrum assets.
