Solaris Energy Infrastructure acquired Omega Foundation Services, a specialized engineering, procurement and construction firm with heavy civil expertise across data centers, LNG, industrial and government sectors. Consideration included approximately $101 million of net cash, $28 million of debt and lease assumption, and issuance of approximately 3.6 million Class A Solaris shares. The transaction is expected to be immediately accretive to earnings and free cash flow per share. Solaris said the deal expands turnkey execution capabilities and addresses a key industry bottleneck in complex power project construction.
